Why can't i build a branch office?

As per the title i need help in finding the reason as to why i can't build branch offices within a particular empire.
The empire is neither a megacorp, nor hivemind. We share a commercial (and non-aggression) pact. And i have enough credits and authority.
What other possible reasons are there, that i have forgotten about?

I still need help with this, since i the game will not give me any info about it.

Save game might help to see what's the problem. I saw some reports with MegaCorps and the Imperial Fiefdom origin but I haven't personally tried them.

I have also encountered this in an MP game. (I just shrugged my shoulders 'cause there were other better player planets to build on and this was an AI, but I'd be interested to know the reason).

IRC this happens because the game no longer shows if another megacorp has a branch office in a planet that is not yours.

In my last game a criminal megacorp started to build branch offices in an empire with whom I had a commercial pact with, and while i gained an expropriation CB against them, if I clicked on the planets they had built their branch offices in it appeared as if they hadn't built them, but i couldn't build my own either, just as in the image above.
