Not worth it, since you lose quite defensible terrain. Even if you aren't that well prepared, you should hold the front with a fighting retreat atleast 6 months before the Japanese reach the line which you would lose from the treaty.

Especially against AI Japan you should win quite easily either way.

Depends. Once I took the second option. Only because I had gotten real unlucky with the Subjugate the Warlords focus and only got Shanxi and I forgot the time and was deep into Communist China and two other Warlords so I took the six months deal to wrap up those problems.
But generally I wouldn't take the deal. Chances are you are going to lose that land anyway, unless you managed to grind up on army reforms, so no reason to cede it willingly might as well make the Japanese lose a bunch of men taking it.

Never, ever, ever, especially since if you have Waking the Tiger enabled, fortifications on Shanghai and Nanking are easily applicable through the Military Affairs Commission focus to Fortify Shanghai and the Chinese Hindenburg Line.

Plus, with the large sums of manpower you have, you can easily resist a Japanese push from Manchuria.
So: Never, ever, ever.

Without buffing the AI through difficulty or game rules, you shouldn't even lose any land besides some coastal non-port tiles that Japan would probably take (temporarily) in some botched invasions.
