As a noob I was wondering if Vicky France would be in the game, also if you could upgrade current ships to a newer model or if you would have to make new ships form scratch.

Not sure about that but yes you can upgrade your current ships if you want and you can also prioritize some of your divisions to receive upgrades first as most of them will do it with their elites.
And yeah you can set the priorities on theater based too.

You can't upgrade a ship like in HoI3. There is no modification to research, you can only modify your ship using the sea xp and the variant system, but you can't upgrade the ships you already have, you will have to produce new one using the variant you created.
Yes Vichy France is in but it's an event for Germany and ships cannot be upgraded, you need to make new ships to get the new ships.
