I own a duchy in a foreign kingdom in which I own no counties and have no direct vassals. It is giving me "too many held duchies" but I cant give the duchy away because I dont actually own any land in it or have any vassals in it...

I can't destroy the duchy because I'm in gavelkind

How do I give it away and get rid of it?

As mentioned, you can give the title to any vassal, preferably in your de jure primary duchy, so that you can use plot to revoke the county and have it nice (in case you are a king. If not, it will make vassal independent, then just attack him for the de jure land).
You can also give unwanted titles to the pope or holy orders, which will make them happy.
Also, I recommend to play with de jure requirement game rule on, which after a time destroys titles where the holder doesn`t actually hold any land (which helps with AI sillynes)
