Conquering means you get all their resources and they are used the way you want. Allying would mean you can have priority access to some of their resources, but the others will be spent to achieve their own goals which might not be the same as yours. Allying is, however, less expensive in men/materiel.

thats wrong tho. Your allies will give you controll over their troops if they think that you can manage them better than they can. We saw that during WWW, when Spain and Italy gave controll over large chunks of their army to germany. That way well coordinated attacks like operation barbarossa or d-day landings are possible to propperly execute.Well, if it's like Hoi 3, the last thing you want as Germany are massed allies following you deep into Russia and using up all the supply capacity. You don't get ALL their resources when conquering.
The percentage of resources/factories/manpower depends on your occupation policies and local resistance management (troops stationed there).
Conquering also raise world tension and IIRC your neighbours attitude towards you.

I don't have allies when I play as Germany. I don't invite any country into my Axis.
